WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO SOUNDCLOUD FROM YOU, A LIMITATION OF SOUNDCLOUD’S LIABILITY TO YOU, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES. ALL APPLICABLE LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.

Official Rules

1. Eligibility

SoundCloud Next Pro One-Year Subscription Giveaway (the annual Next Pro subscription referred to as the “SoundCloud Next Pro Subscription” and this sweepstakes referred to as the “Giveaway”) is open to legal residents of Nigeria who are at least eighteen (18) years old at the time of entry. YOU MUST HAVE A CURRENT SOUNDCLOUD NEXT “FREE” ACCOUNT TO BE ELIGIBLE TO ENTER (“SoundCloud Next Account”). PREVIOUS OR EXISTING SOUNDCLOUD NEXT PRO SUBSCRIBERS ARE NOT ELIGIBLE TO ENTER. Employees of SoundCloud and other companies associated with the promotion of the Giveaway, and their respective parents, subsidiaries, affiliates and advertising and promotion agencies (if any) as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible.

2. How to Enter

The Giveaway begins at 12:00 a.m. (GMT+1) December 4, 2023 and ends at 11:59 p.m. (GMT+1) December 31, 2023 (the “Giveaway Period”). To enter, between December 4, 2023, and December 31, 2023, you must (1) upload to the SoundCloud platform an original song composed and created by you (the “Track”), (2) tag the Track #soundcloudNG, and (3) share the Track on TikTok, X/Twitter, and/or Instagram/Facebook, and tag @SoundCloud in those social posts (together, the “Entry”).

Limit one Entry per person. You may not use multiple SoundCloud accounts to submit more than one Entry total. In the event of a dispute regarding the identity of the person submitting an Entry, the Entry will be deemed to be submitted by the authorized account holder in whose name and email is registered under the corresponding SoundCloud account. Entries made by any mass duplication, automatic, robotic, or programmed method, or in any manner not in compliance with the requirements of these Official Rules are invalid and will be disqualified.

3. Conditions of Entry

Incomplete Entries will not be accepted. A Giveaway can only be awarded to the person whose name is listed on the Entry and who matches the SoundCloud Next Account. By participating, you agree to these Official Rules, including all eligibility requirements. SoundCloud, in its sole discretion, reserves the right to disqualify participants who violate these Official Rules or interfere with this Giveaway in any manner. If a participant is disqualified, SoundCloud reserves the right to terminate that participant’s eligibility to participate in the Giveaway. Neither SoundCloud nor any service providers are responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunctions, lost/delayed data transmission, omission or failures of any network, computer equipment, web site or software, or any other error or malfunction, or late, lost or misdirected entries. Neither SoundCloud nor any service providers are responsible for any liability for damage to any computer system resulting from participation in or accessing or downloading information in connection with this Giveaway.

As a condition of participating in the Giveaway:

(1) You acknowledge you have read and agree to be bound by SoundCloud’s Terms of Use For Artist Subscriptions;

(2) You consent to SoundCloud’s use of your first and last names, and SoundCloud display name, profile URL, and profile image for promotional purposes without additional compensation, except where prohibited by law;

(3) If requested by SoundCloud, you agree to sign and return an affidavit of eligibility/publicity and liability release within the time specified by SoundCloud. If a winner is ineligible, cannot be contacted, fails to timely return an affidavit/release as specified by SoundCloud, declines the Giveaway, or if the Giveaway notification is returned as undeliverable, an alternate winner may be selected.

4. Drawing

SoundCloud will award up to one thousand (1,000) SoundCloud Next Pro Subscriptions to the persons submitting the first 1,000 Entries received during the Giveaway Period. Only one SoundCloud Next Pro Subscription shall be given to the natural person that owns the SoundCloud profile that submits a winning Entry. SoundCloud will award the Giveaway prizes on a rolling basis throughout December 2023. Giveaway winners will be notified via email.

5. Giveaway

Each winner will be awarded the following: a SoundCloud Next Pro Subscription with a single one-year duration.

A winner may be eligible for inclusion in other perks and benefits offered by SoundCloud, such as placement in a fan newsletter, social media amplification, or playlisting, in each case, in SoundCloud’s sole and absolute discretion.

SoundCloud has not made and is not in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law in connection with a Giveaway. No Giveaway substitution, cash substitution, or assignment or transfer of the Giveaway is permitted, except by SoundCloud in its sole and absolute discretion. All Giveaways awarded are subject to verification of eligibility and compliance with these Official Rules. THE GIVEAWAY WILL BE ACCEPTED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

6. Privacy

Personal information that you provide to SoundCloud in connection with the promotion or registration with SoundCloud will be collected and used by SoundCloud in accordance with its privacy notice (https://soundcloud.com/pages/privacy) and these Official Rules.

7. Liability Limitation and Indemnification

By entering and/or participating, all entrants and winners, on behalf of themselves, their executors, heirs and assigns hereby: (a) releases SoundCloud from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons or property, including death and bodily injury, which may be sustained in connection with the conduct or outcome of the Giveaway or the receipt, ownership or use or misuse of any Giveaway awarded, (b) indemnify and hold harmless SoundCloud from and against any and all claims arising from the foregoing, (c) indemnify and hold harmless SoundCloud from and against any and all claims arising from the acts or omissions of the entrant or winner; and (d) indemnify and hold harmless SoundCloud from any claim that any song or composition uploaded by an entrant or winner infringes the intellectual property rights of a third party or person. Under no circumstances will SoundCloud be liable for punitive, incidental, consequential, or special damages (including lost profits) or any other damages, including any attorneys’ fees awarded or recoverable.

8. General

The Giveaway and these Official Rules shall be governed by the laws of the State of New York, USA, without regard to its conflict of laws rules. By entering the Giveaway, you agree to be subject to the exclusive jurisdiction of the courts in the county and state of New York, New York. The decisions of SoundCloud are final with respect to all aspects of the Giveaway and shall be within SoundCloud’s sole and absolute discretion.

SoundCloud reserves the right to verify eligibility qualifications of any Entry. If, in SoundCloud’s sole and absolute discretion, there is any suspected or actual evidence of tampering with any portion of the Giveaway, or if technical difficulties compromise the integrity of the Giveaway, SoundCloud reserves the right to terminate the Giveaway.

Except where prohibited, all disputes arising out of or connected with this Giveaway will be resolved on an individual basis by binding arbitration subject to the rules of the American Arbitration Association. The foregoing shall not limit any party’s right to seek injunctive or equitable relief in any court with jurisdiction over the parties or to bring qualifying claims in small claims court. If an in-person hearing is required it will take place in New York, New York; except, however, the parties may mutually agree on an alternative location. The arbitrator’s decision and award will be final and binding, and judgment on the award may be entered in a court of competent jurisdiction.

The invalidity or unenforceability of any portion or provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. SoundCloud’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. If there is a discrepancy between these Official Rules and any promotion materials (whether related to the Giveaway or otherwise), the Official Rules will control and govern this Giveaway.
